Terms of Service

1. Introduction

1.1 Welcome to SpaniHub (Pty) Ltd ("SpaniHub", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the SpaniHub platform, including our website at www.spanihub.co.za and any related services (collectively, the "Platform").

1.2 By registering an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Nature of the Platform

2.1 SpaniHub is an online marketplace that connects customers ("Customers") seeking services with independent service providers ("Service Providers"). SpaniHub is not a party to any agreement entered into between a Customer and a Service Provider.

2.2 We do not employ Service Providers, and we do not guarantee the quality, safety, legality, or outcome of any services rendered.

2.3 SpaniHub acts solely as an intermediary and technology platform facilitating connections between parties.

3. Eligibility

3.1 You must be at least 18 years of age and legally capable of entering into binding contracts under South African law to use the Platform. By using SpaniHub, you represent and warrant that you meet these requirements.

3.2 Service Providers must hold any licences, certifications, or permits required by law to perform the services they offer.

4. User Accounts

4.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 You agree to notify SpaniHub immediately at admin@spanihub.co.za if you become aware of any unauthorised use of your account.

4.3 SpaniHub reserves the right to suspend or terminate any account that violates these Terms or that we reasonably believe poses a risk to other users or the Platform.

5. Service Provider Obligations

Service Providers agree to:

5.1 Provide accurate, truthful, and complete profile information, including skills, experience, and qualifications.

5.2 Submit valid identity documentation for verification purposes as required by SpaniHub.

5.3 Perform services with reasonable care, skill, and diligence.

5.4 Comply with all applicable laws, regulations, and industry standards.

5.5 Not solicit Customers to transact outside of the Platform in order to circumvent escrow or platform fees.

6. Customer Obligations

Customers agree to:

6.1 Provide accurate and complete job descriptions, including location, scope of work, and budget.

6.2 Treat Service Providers with respect and professionalism.

6.3 Immediately confirm satisfactory completion of the work on the SpaniHub site.

6.4 Not request services that are unlawful or that require unlicensed work.

7. Payments and Escrow

7.1 SpaniHub facilitates a simulated escrow system to protect both Customers and Service Providers. Upon acceptance of a booking, the agreed amount is held in escrow and only released to the Service Provider once the Customer confirms job completion.

7.2 Customers must raise any dispute within 24 hours of the agreed completion date. Failure to raise a dispute within this period will be deemed acceptance of the completed work.

7.3 SpaniHub reserves the right to introduce platform service fees in the future. Users will be notified of any such fees with reasonable advance notice.

8. Cancellations and Refunds

8.1 If a booking is cancelled before work commences, the escrowed amount will be refunded to the Customer in full.

8.2 If a booking is cancelled after work has commenced, any refund will be determined by mutual agreement between the Customer and Service Provider. SpaniHub may facilitate dispute resolution but is not obligated to do so.

8.3 SpaniHub does not guarantee refunds in cases of disputes between users.

9. Verification and Background Checks

9.1 SpaniHub verifies identity documents and collects trade references. However, verification does not constitute an endorsement, guarantee, or warranty of a Service Provider's qualifications, character, or the quality of their work.

9.2 Customers are encouraged to review ratings, reviews, and references before engaging a Service Provider.

10. Reviews and Ratings

10.1 Users may leave honest reviews and ratings following the completion of a service. Reviews must be truthful and not defamatory. SpaniHub shall remove reviews that violate these Terms or applicable law.

10.2 Manipulation of the review system — including posting false reviews, incentivising reviews, or retaliating against reviewers — is strictly prohibited and may result in account suspension.

11. Prohibited Conduct

You agree not to:

11.1 Use the Platform for any unlawful purpose or in violation of any applicable law.

11.2 Circumvent the escrow system by transacting directly to avoid platform oversight.

11.3 Misrepresent your identity, qualifications, or the nature of services offered.

11.4 Harass, threaten, or intimidate other users or customers.

11.5 Behave in any manner that is inappropriate towards a customer.

11.6 Conceal damage to a customer's property.

11.7 Attend at a customer's premises without prior arrangement.

11.8 Post false, misleading, or defamatory content.

11.9 Attempt to gain unauthorised access to any part of the Platform.

11.10 Use automated tools to scrape, crawl, or extract data from the Platform.

12. Intellectual Property

12.1 All content, branding, and technology on the Platform, including the SpaniHub name, logo, and software, are the property of SpaniHub (Pty) Ltd and are protected by applicable intellectual property laws.

12.2 You may not copy, reproduce, distribute, or create derivative works from any SpaniHub content without our prior written consent.

13. Limitation of Liability

13.1 To the maximum extent permitted by South African law, SpaniHub's total liability to any user arising out of or in connection with the Platform shall not exceed the value of the transaction giving rise to the claim.

13.2 SpaniHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of income, data, or goodwill, arising from your use of the Platform.

14. Indemnification

14.1 You agree to indemnify and hold harmless SpaniHub, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any third-party rights.

15. Privacy and POPIA Compliance

15.1 SpaniHub processes personal information in accordance with the Protection of Personal Information Act, 4 of 2013 ("POPIA"). By using the Platform, you consent to the collection and processing of your personal information as described in our Privacy Policy.

15.2 You have the right to access, correct, or request deletion of your personal information by contacting us at admin@spanihub.co.za.

16. Amendments to These Terms

16.1 SpaniHub reserves the right to update or amend these Terms at any time.

16.2 We will notify registered users of material changes via email or a prominent notice on the Platform. Continued use of the Platform after such notice constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

17.1 These Terms are governed by the laws of the Republic of South Africa.

17.2 Any disputes arising from or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Gauteng High Court, unless the sums involved fall within the jurisdictional limit of the Magistrates' Courts, in which case the Randburg Magistrate's Court shall have exclusive jurisdiction.

17.3 SpaniHub encourages users to resolve disputes amicably in the first instance by contacting admin@spanihub.co.za.
